The U.S. Securities and Exchange Commission has proposed a new set of rules for crypto-related fundraising called Regulation Cryptoasset. The proposal would create exemptions from registration under the Securities Act of 1933 for certain investment contracts and includes a safe-harbor provision to prevent some crypto assets from being classified as securities. It sets two fundraising exemptions, adds disclosure and reporting requirements, and would make federal rules take precedence over state laws for issuance and some secondary trades.

She said passage would clearly divide authority among regulators over the crypto spot market and give the industry, investors and authorities clearer standards. Peirce also said substantial rulemaking would follow any passage, while stressing the SEC would not stand idle even if the bill fails.
