The Korea Fair Trade Commission has received a merger filing from Naver Financial and Dunamu and has begun its review.

On the 28th, the commission said the deal involves major domestic digital platform companies and is expected to have broad effects on the digital ecosystem. It said it will closely review the merger by examining possible limits on competition and effects on consumers.

Naver would make Dunamu a wholly owned subsidiary under the deal and establish an integrated framework for digital finance covering payments, fintech, blockchain and virtual assets.

Naver and Dunamu on the 26th approved a plan under which Naver Financial will acquire 100 percent of Dunamu through a comprehensive share swap. The merger ratio was set at 2.54 Naver Financial shares for each Dunamu share. The corporate value ratio is about 1 to 3.06.
