Japan's bitcoin treasury company Metaplanet plans to establish a U.S. bitcoin treasury platform by deploying 2,100 bitcoin.

On Aug. 18 local time, blockchain media outlet U.Today reported that Metaplanet announced an investment plan for a new bitcoin treasury platform through a transaction with U.S. digital advertising and gaming media company Super League.

Under the deal, Metaplanet will invest 2,100 bitcoin in Super League and then operate it under the new name, Superplanet. The Nasdaq listing will remain, and the ticker will be SUPA.

Metaplanet is known as a company that accumulates bitcoin aggressively. It currently holds 43,000 bitcoin, and the investment amounts to about 4.9 percent of its total holdings. The company plans a structure to provide access to a U.S.-listed company based on a large-scale bitcoin treasury, and it plans to run the existing advertising and media business as a separate division.

The company plans to contribute 2,100 bitcoin and $2.5 million in cash to Super League through its U.S. subsidiary, Metaplanet Holdings. In return, it will receive 44,859,400 common shares at $3 per share, along with preferred shares and warrants, and the total investment will be about $134.6 million. When the transaction is completed, Metaplanet will hold about 95.7 percent of Superplanet's common stock.

The stake that Metaplanet secures will also carry a long-term holding condition. Common shares issued at closing and shares acquired later through the exercise of warrants or conversion of preferred shares will be subject to a five-year lock-up. Metaplanet also plans to secure the right to appoint a majority of Superplanet's board through preferred shares.

Procedures remain before an actual launch. The company said the transaction is currently undergoing key procedures, and it explained it must go through shareholder approval, Nasdaq-related filings, and regulatory and customary procedures in the United States and Japan. The timing of the Superplanet launch has also not been disclosed. The business completion timing is expected to be in the fourth quarter of 2026.

This plan is seen as Metaplanet moving to expand its stage to a U.S.-listed platform. The actual launch and timing, however, depend on shareholder approval, Nasdaq review and the completion of regulatory procedures in both countries. The market is therefore watching whether the deal will close within the fourth quarter of 2026 and whether Superplanet will transition as planned into a U.S. bitcoin treasury platform.
