TechCrunch reported on Sunday that Anthropic has officially filed an initial public offering registration statement with the U.S. Securities and Exchange Commission.
The report said Anthropic plans to list on Nasdaq under the ticker symbol ANT. November is seen as the most likely timing.
Anthropic's revenue in the first half of this year rose to $16.3 billion from $1.2 billion a year earlier.
Its operating loss in the first half was $693 million, down from $2.1 billion a year earlier. Net loss totaled $80.7 billion. Non-cash accounting adjustments related to convertible bonds accounted for most of the net loss.
Anthropic said in the filing that it may not be able to achieve or sustain profitability going forward.
The filing also included details on the size of its corporate customer base. As of the end of September, more than 11,900 customers spent at least $100,000 a year. Some 1,900 customers spent at least $1 million a year, and about 250 customers spent at least $10 million a year.
Anthropic's seven co-founders will retain control after the listing. They will form a "Founder LLC" and jointly exercise 50.1 percent of shareholder voting rights. Anthropic said the structure is designed to uphold its AI safety mission. A Long-Term Benefit Trust, established in 2023 on the rationale of protecting a public-interest mission, has the authority to appoint most board directors, but the governance structure has also drawn controversy.
That is because the founders can exercise voting rights far larger than their equity stakes, and ordinary shareholders are effectively unlikely to have influence over company management.
Anthropic has not yet disclosed the size of the offering or its target share price.
