NCSoft will acquire Germany-based mobile game reward platform operator JustPlay GmbH to expand its mobile casual business.

On March 10, NCSoft said in a regulatory filing that it decided at a board meeting to acquire 17,696 shares in JustPlay for about 301.6 billion won. The amount equals 9.8 percent of its equity. After the purchase, its stake will be 70 percent. The acquisition will be paid in cash.

JustPlay's main businesses are developing mobile casual games and operating a reward application. As of 2025, it recorded total assets of about 204.8 billion won, revenue of about 247.9 billion won and net profit of about 22.6 billion won.

The purpose of acquiring shares in the company is to secure a core platform in the global mobile casual ecosystem to expand its mobile casual business. NCSoft plans to pay using its foreign-currency assets, and the expected acquisition date, the anticipated payment date for the acquisition price, is April 30.

NCSoft also signed a contract under which it holds a call option and the seller holds a put option on the remaining 7,583 shares held by the seller. The exercise price will be calculated and determined based on business performance at the time of exercise.

The buyer in the transaction may later be changed to a subsidiary that NCSoft plans to establish, and it plans to make a disclosure in line with relevant laws if that change occurs.
